Minutes of Meeting

  • CALL TO ORDER
  1. This Special Meeting was called to order at 1:06 pm, at 27915 NE 151st Street, Duvall, WA.
  • ROLL CALL
  1. A quorum is present.
  2. Members present:
    1. Larry Stout, President (by phone); Daneen Haynes, Vice President; Patrick Kevin, Treasurer; Cindy Stout, Secretary.
  • UPDATE FROM PRESIDENT
  1. Citing business commitments and travel, Larry Stout submitted his resignation as Board President, effective immediately. He will make himself available as much as possible to assist in the transition and offered to continue to maintain the website and any other projects that can be handled remotely.
  2. All accounting records, including passwords to the WAVE accounting app have been transferred to Patrick Kevin.
  3. Larry will complete work on the revised CC&R’s and Bylaws in time for the Annual Member Meeting mailing later this week. He will also create a proxy voting document and a cover letter for the mailing.
  4. The possibility of Larry taking a leave-of-absence for a period of time and returning as the Board President was discussed. He said that he would accept that scenario.  Patrick also mentioned perhaps switching roles with Larry (Patrick becomes President, Larry becomes Treasurer).  This is also a favorable scenario.
  • UPDATE FROM TREASURER
  1. Patrick will contact the CPA to follow up on the tax filing and annual dues paid.
  2. Patrick will review Aucensio Trejo’s landscaping contract for 2020. Note that we may need to include an incremental charge for new beauty bark on the common areas.
  • UPDATE FROM VICE PRESIDENT
  1. Larry will not be available for the Annual Member Meeting and Daneen agreed to run the meeting in his place.
  2. Discussed walking the neighborhood on Sunday, 2/15/20, with copies of Proxies.
  • UPDATE FROM SECRETARY
  1. Cindy will print and collect all documents for the Annual Member Meeting mailing. She will also provide an updated property owner/contact info list to Patrick and Daneen.
