Annual Member Meeting – July 12, 2020
Minutes of Meeting
1) CALL TO ORDER
A. President Patrick Kevin called this meeting to order at 3:04pm, via Zoom Meeting.
2) ROLL CALL and INTRODUCTION OF OFFICERS
A. A quorum was present. Twelve residences were represented and an additional two submitted Proxy forms for the vote. Members present: Patrick Kevin, Daneen Haynes, Larry & Cindy Stout, Prakash Patel, Ali Khan, Francis Phillip Banaad Fandino &Brandi Jo Weekes, Will Chappell, Pavan Bandla & Marina Gopal, Keleah Bivin, Yanka Chalakova, Layne & Katelyn Miyazaki, Layne Bresler.
3) APPROVAL OF 2019 ANNUAL MEETING MINUTES
A. Minutes were read by Secretary Cindy Stout, there were no corrections requested and Minutes were approved.
4) PRESENTATION OF REVISED CC&R’S AND NEW BYLAWS
A. Former Board President and current Treasurer Larry Stout shared the CC&R’s and Bylaws documents on his computer screen as he reviewed the updates.
B. A member raised questions regarding assessments, inspections, and the Board’s power to enforce the CC&R’s.
C. A request was made by a member to change the word “buildings” to “building” in Article II, Section 2.8, of the CC&R’s.
5) VOTE ON REVISED CC&R’S AND NEW BYLAWS
A. Patrick Kevin requested an audible vote. Eleven members present voted for the ratification, and two members voted for ratification via Proxy. By majority vote the CC&R’s and Bylaws were approved.
B. Kevin pointed out that the CC&R’s allow for requests for revisions by members at any time.
C. A member presented a concern about property setbacks and a fence that had been moved beyond the legal boundary, and what guidelines the CC&R’s contain on this situation. He was asked to provide the address of the property that encroaches his.
6) FINANCIAL REPORT
A. Board Treasurer Larry Stout shared financial reports on his computer screen and reviewed the Balance Sheet and P&L documents, showing a balance of $9,230.92 at year end.
B. Stout reported that the accounting firm of Community Business Services has filed all back-tax returns and the non-profit tax status that had lapsed has been reinstated with no penalties.
7. LANDSCAPE CONTRACTOR UPDATE
A. Vice President Daneen Haynes reported that the landscaping services of Janitorial & Landscaping, LLC (Ausencio Trejo Flores), will continue to provide services.
8. SOCIAL EVENT – NATIONAL NIGHT OUT
A. VP Haynes reported that due to pandemic restrictions, the City of Duvall Police Department has rescheduled the annual National Night Out gathering to the second Tuesday in October. As this is our main social event of the year all are encouraged to participate.
