Board Meeting – November 10, 2019
Minutes of Meeting
- CALL TO ORDER
- The meeting was called to order at 4:05pm, at 27915 NE 151st Street, Duvall, WA.
- ROLL CALL
- A quorum was present.
- Members present: Larry Stout, President; Cindy Stout, Secretary; Daneen Haynes, Vice President, and Patrick Kevin, Treasurer.
- Duvall Police Officer, Brandon Rhodes, visited the meeting. He was present for about 20 minutes before being called away.
- REPORTS FROM BOARD MEMBERS/OLD BUSINESS
- President: Brief update from Larry on recent disagreements between two AG residents. Police have been called to the residences twice recently. Currently the HOA’s involvement is to ensure that a separate building structure on one of the properties be finished in a manner that is consistent in appearance with the home. The City is reviewing building code compliance of structure. Other issues between the two owners are civil matters that are not governed by the HOA.
- Secretary: Cindy read the minutes from the May 19, 2019, meeting and they were reviewed and approved.
- Treasurer: Patrick reported that he has had no update on the Tax Exempt status. Regarding that, Larry reported that he received a letter from the State stating it is “in the works.” Patrick mentioned we might need to inquire about the status before it’s time to file again in 2020. Larry mentioned a free online Accounting tool that he feels we should investigate: Wave This tool would make the transfer of Accounting records to new Board members easy and efficient.
- Vice President: Daneen has not connected with City regarding HOA areas maintained by the City. On this note, Larry reported that he was contacted by the City requesting that we clear some shrubs and trees that were blocking the view from the intersection of 278th and 150th. He contacted Ausencio and that work was done.
- Larry opened up the discussion of the revision of the CC&R’s that was proposed at the previous meeting, and the process of extracting language that should be contained in a separate Bylaws document. The three documents provided for our review were: 1) CC&R’s as Amended in 2004, with suggested changes noted. 2) Extracted Bylaws Language, the Bylaws language that was highlighted in blue in the previous document; 3) AGHOA Bylaws – 1st Using a sample HOA Bylaws document found on a legal website, extracted Bylaws-language from the original CC&R’s has been incorporated into a 1st Draft for our review.
Time expired before we finished the complete review. Board members agreed to complete their review and report back to Larry with any edits or comments, no later than November 24, 2019.
Larry committed to review and complete the language regarding out-buildings in the CC&R’s, and Cindy committed to working on Section 3.2, referencing a Quorum.
- NEW BUSINESS
- Early in the meeting a question was posed to Officer Rhodes about the legality of cars parked on the roadway. He reported that unless the HOA has specific rules, cars may be parked on the street as long as they do not remain in the same place for longer than 24 hours.
- A proposed 2020 HOA Meeting Schedule was agreed upon:
1/12/20 – Board Meeting
3/8/20 – Annual Member Meeting
5/17/20 – Board Meeting
8/9/20 – Board Meeting (if necessary)
11/8/20 – Board Meeting

- Our next Quarterly Board Meeting will be Sunday, January 12, 2020, at 4pm, at the Stout’s.
